OnFiber Communications has acquired substantially all the assets of C2C Fiber Networks, a carrier’s carrier serving the Boston, Mass., area. OnFiber will not reveal financial details of the deal, including whether or not it was made with cash.

The acquisition, which has already closed, gives OnFiber 350 route miles of fiber and 12 points of presence (POPs) in more than 25 cities throughout the Boston area, from Lawrence, Mass., to Framingham. OnFiber previously had about 3500 route miles in 15 markets nationwide but only about 30 route miles and two POPs in Boston. The acquisition represents about a 10% increase in the size of OnFiber’s network.

OnFiber will also inherit C2C’s approximately 15 customers, virtually all of which are carriers. C2C took in less than $1 million in revenue in 2003, according to OnFiber CEO Danny Bottoms, who expects the acquisition to boost his company’s annual revenue by about 5% in 2005.

"The [cash] burn’s nominal, and we can manage the burn down through some of the synergies," Bottoms said.

C2C also has about 15 employees, the majority of which will be retained by OnFiber, Bottoms said without being more specific.

The acquisition is OnFiber’s third. It acquired Sphera Optical Networks for $2.3 million in May 2002 and its competitor, Telseon, three months later.

Bottoms has allowed two months for the integration of the two networks. C2C was not co-located in either of OnFiber’s two Boston POPs, but it has a node across the street from one of OnFiber’s nodes. "It’s a fairly simple tie between the two," Bottoms said. OnFiber plans to transition the network operating services and administration within the next 15 days, allowing C2C customers to start receiving their bills from OnFiber by the end of this month.

OnFiber will continue acquiring networks in first- and second-tier cities, Bottoms said, especially in or near markets OnFiber already serves. "I don’t think you’ll see us going after a network in Memphis, Tenn., for example. I think you’ll see a couple more deals in the next couple of months, and maybe more. People are still struggling with their business models. Some might say we’re in act two of a two-act play."

Founded in 1997 to address the telecom needs of Eastern Massachusetts’ I-495 tech corridor, C2C Fiber offers wholesale Sonet, Ethernet, and Fibre Channel digital transport for voice, video and data in speeds ranging from T-1 through OC-192 and from 1 Mb/s to 10 Gb/s.
